Background

Though the Republic of Panama is well known for its famous canal linking the Atlantic and Pacific Oceans and standing at the doorways to North and South America, it is also a leading offshore tax haven. Panama is the oldest offshore jurisdiction providing offshore companies for approximately 75 years. The International Businesses are formed under the Corporation Law No. 32 of 1927.

Annual General Meetings are not a requirement.

Confidentiality, the names of the Beneficial Owners are not filed on any public document in the registry, often referred to as a Closed Government registry.

Standard share capital is USD $10,000 par or non par value, the share capital this does not need to be paid up.

Annual fees are due for payment on the anniversary of the company.

The name of the company shall include a word or abbreviation which signifies that it is a corporation. For example, "Corporation", "Incorporated", "Sociedad Anonima".

There is no requirement to give any accounts or to make an annual audit of the company in Panama

Panama - Restrictions

A Panama offshore company is exempt from all local taxes and restrictions, however it may not conduct business within Panama including buying real estate or land. This however leaves the company completely free to trade elsewhere in the world and avoid taxation on its profits.
